حق کسب اطلاع سهام داران مطالعه تطبیقی در حقوق فرانسه ، آلمان ، انگلیس و آمریکا این کتاب پایان نامه برای دکتری دولتی حقوق توسط آقای محمود عرفانی در دانشگاه حقوق و اقتصاد پاریس (پاریسΙΙ) با راهنمایی پروفسور روژه اوأن در جلسه عمومی ارائه و دفاع شده است. داوران: پروفسور گوره ، وان دن بوش ، دو پونتاویس و پدامون بودند . این پایان نامه درجه بسیار افتخار آمیز کسب نمود و به وسیله دانشگاه گرونوبل تکثیر گردیده است. پروفسور روژه اوأن در دیباچه خود چنین می نویسد :

«... مؤلف، آقای عرفانی، با راحتی زبان فرانسه را به کار برده و دارای فکر حقوقی بسیار ظریف و روشن می باشد ایشان با تطبیق حقوق فرانسه ، آلمان ، انگلیس و آمریکا ، خطوط مهم یک تحول مشترکی که می تواند کسب اطلاع بیش از بیش کامل و صادقانه سهام دار را تأمین کند استنتاج کرده و نشان می دهد که بهبود هر یک از حقوق مذکورمستلزم یاری گرفتن از حقوق دیگران است... » با وجود این کنترل داخلی یا مدیریت کافی نمی باشد، لازم است از سازمان ها ی خارج و مستقل ازشرکت سهامی مانند کمیسیون بورس واوراق بهادار درآمریکا (S.E.C) و در فرانسه (C.O.B) الگوبرداری شود. تمام این تدابیر و سایرمواردی که دراین کتاب مطالعه شده است به عنوان یک روش مؤثربرای جلب اعتماد سهام داران برای سرمایه گذاری و به منظورفعالیت بازاربورس و توسعه ی اقتصاد کشور می باشد.

Cette thèse a reçu la mention très honorable et a été reproduite par l’Université de Gronoble avec la préface de Professeur HOUIN qui écrit ainsi : “… L’auteur manie avec une grande aisance la langue française et possède un esprit juridique d’une grande finesse et d’une grande clarté. De la comparaison des droits français, allemand, anglais et américain, il déduit les grandes lignes d’une évolution commune qui tend à assurer une information de plus en plus complète et sincère de l’actionnaire et montre les améliorations que chacun de ces droits pourrait emprunter aux autres…” Cependant le contrôle interne ou de la direction n’est toujours suffisant. Il est nécessaire de faire appel à des organismes externes et indépendants de la société par action, tels que la « Securities Exchange Commission(S.E.C) » aux Etats-Unis et la « Commission des Opérations de Bourse(C.O.B) » en France, etc. Toutes ces mesures ainsi que d’autres que nous avons vues dans ce livre contribuerons d’une manière efficace a attiré la confiance des actionnaires pour les investissements afin de l’activité du marché boursier et de développer l’économie national
